Using WayConnect

Terms of Service

These Terms govern access to WayConnect websites, workspaces, communication tools, integrations, APIs, billing services, AI assistance, and workforce-management features.

1. Agreement and scope

These Terms of Service (“Terms”) form a binding agreement between the WayConnect supplier identified in your Order Form, invoice, or checkout record (“WayConnect”, “we”, “us”, or “our”) and the person or organisation accepting them (“Customer”, “you”, or “your”). They apply to WayConnect websites, applications, customer workspaces, APIs, documentation, support, and related services (collectively, the “Services”).

You accept these Terms by creating an account, completing checkout, accepting an Order Form, clicking an acceptance control, accessing a workspace, or using the Services. If you act for an organisation, you confirm that you have authority to bind it. If you do not agree, do not access or use the Services.

An Order Form, Data Processing Addendum, service-level agreement, or other signed agreement may add to or modify these Terms. The signed document controls for the subject of a direct conflict, followed by these Terms, then product documentation.

2. Key definitions

  • “Authorised User” means an employee, contractor, administrator, or other person a Customer permits to access its workspace.
  • “Customer Content” means information, messages, contacts, leads, employee or candidate records, files, configurations, prompts, and other material submitted to, received through, or generated in the Services for a Customer.
  • “Connected Service” means Meta, WhatsApp, Instagram, Messenger, Google, Microsoft, Razorpay, an AI provider, an email provider, a customer endpoint, or another third-party product connected to the Services.
  • “Order Form” includes a signed order, enterprise agreement, accepted online checkout, or other ordering record that identifies a plan, price, term, or special condition.
  • “Subscription Term” means the trial, monthly, quarterly, yearly, or custom period for which access is granted.

3. Eligibility and business authority

The Services are intended for legitimate business and organisational use. You must have legal capacity to enter this agreement, be old enough to contract under applicable law, and not be prohibited from receiving the Services by sanctions, export-control, or other law.

You are responsible for determining whether the Services are suitable for your operations and whether your planned use is lawful. Regulated or high-risk use cases may require a written agreement, additional safeguards, or may not be supported.

4. Services, workspaces, and administrators

The selected plan controls available features, limits, storage, brands, agents, employees, contacts, campaigns, integrations, and other entitlements. Some features require separate setup, provider approval, a prepaid wallet, add-ons, or an enterprise agreement.

Customer administrators can invite users, assign roles, configure channels, grant support access, connect accounts, set business rules, and manage Customer Content. Customer is responsible for its administrators' instructions and all activity by Authorised Users acting within their access.

  • Keep organisation, billing, tax, contact, and user information accurate and current.
  • Give each Authorised User an individual account and only the permissions needed for their role.
  • Promptly remove users who no longer require access and review enabled integrations and support grants.
  • Maintain lawful backups or exports needed for Customer's own continuity and recordkeeping duties.

5. Account security

You must protect credentials, devices, recovery methods, OAuth connections, API keys, webhook secrets, and connected accounts. You may not share credentials, permit unauthorised access, or attempt to bypass authentication, plan limits, rate limits, permissions, or security controls.

Notify WayConnect promptly at support@wayconnect.co if you suspect unauthorised access, credential exposure, or misuse. You remain responsible for activity through your accounts until access is secured, except to the extent caused by WayConnect's breach of its obligations.

6. Acceptable use

You may use the Services only for lawful business purposes and in accordance with these Terms, product documentation, the applicable plan, and Connected Service requirements.

  • Do not send unlawful, unsolicited, deceptive, fraudulent, harassing, discriminatory, defamatory, obscene, exploitative, or infringing content.
  • Do not facilitate illegal goods or services, malware, phishing, credential theft, unauthorised surveillance, human exploitation, terrorism, hate or violence, or activity that violates sanctions or export controls.
  • Do not impersonate others, misrepresent message origin, falsify consent or delivery information, or use purchased, scraped, or unlawfully obtained contact lists.
  • Do not probe, scan, disrupt, overload, damage, reverse engineer, copy, frame, scrape, or circumvent the Services except where applicable law expressly permits an activity that cannot be restricted by contract.
  • Do not upload malicious code; expose secrets; access another tenant; resell, sublicense, or operate a service bureau using the Services unless an authorised reseller or white-label plan expressly permits it.
  • Do not use the Services or generated output to make unlawful high-impact decisions about employment, credit, insurance, housing, health, or legal rights without appropriate human review and safeguards.

7. Messaging, consent, and channel rules

Customer is the sender and determines the recipients, timing, content, purpose, and lawful basis of its communications. Customer must obtain and document all consent or other authority required before uploading a contact, initiating a message, using a template, sending marketing, or sharing data with a Connected Service.

  • Follow Meta, WhatsApp, Instagram, Messenger, and other channel terms, commerce and messaging policies, template requirements, quality rules, and technical limits.
  • Clearly identify the sender where required, provide required notices, honour opt-outs and suppression records promptly, and avoid messaging people who have withdrawn consent.
  • Comply with telecommunications, anti-spam, consumer-protection, advertising, privacy, recording, and sector-specific laws applicable to each recipient and jurisdiction.
  • Do not attempt to evade a Connected Service suspension, restriction, quality control, template decision, or messaging limit.

8. Customer Content and data responsibilities

Customer retains its rights in Customer Content and grants WayConnect a worldwide, non-exclusive, limited licence during the service relationship to host, copy, transmit, transform, display, secure, and otherwise process Customer Content only as necessary to provide, protect, support, and improve the Services as permitted by the agreement.

Customer represents that it has all rights, notices, consents, permissions, and legal bases required for Customer Content and WayConnect's instructed processing. Customer is responsible for accuracy, quality, legality, collection, retention, and instructions relating to Customer Content.

Where WayConnect processes personal data for Customer, the Privacy Policy and any applicable Data Processing Addendum apply. Customer must respond to data-subject and employment-data requests for information it controls and must not instruct WayConnect to process data unlawfully.

9. Workforce and sensitive records

Workforce features can process employee identity, contact, family, emergency, location, attendance, payroll, tax, salary, expense, recruitment, visitor, asset, and document information. Customer is the employer or responsible organisation and must configure these features in accordance with employment, workplace-monitoring, payroll, tax, labour, biometric, location, and privacy law.

Customer must limit sensitive records to what is necessary, give workers and candidates required notices, collect authorisation where required, restrict access, define retention, verify payroll outputs, and provide a lawful alternative where a mandatory right requires one. WayConnect does not act as the employer, payroll adviser, tax adviser, background-check agency, or decision maker.

10. Connected Services

Connected Services are operated by third parties under their own terms, privacy notices, availability, pricing, approvals, and policies. By enabling a connection, Customer authorises WayConnect to exchange the data and credentials needed to provide it.

WayConnect is not responsible for a third party's independent act or omission, policy or API change, account or template rejection, asset restriction, message delivery decision, data use, service interruption, pricing change, or termination. We may disable an integration that creates security, legal, or platform risk.

11. AI-assisted features

AI features may use Customer prompts, selected workspace context, conversation excerpts, and configured public knowledge sources to draft templates, campaign plans, chatbot flows, or inbox replies through the configured AI provider. Customer authorises this processing when an Authorised User invokes the feature.

AI output can be inaccurate, incomplete, biased, or unsuitable. It is a draft, not professional, legal, medical, financial, employment, or compliance advice. Customer must review output, verify facts and permissions, and remain responsible for every decision, message, workflow, or publication based on it.

Users must not submit passwords, authentication codes, payment credentials, secrets, or sensitive personal data that is unnecessary for the requested output. Availability, models, limits, and charges may change, and AI usage may draw from a prepaid wallet where shown.

12. Plans, fees, taxes, and checkout

Prices, billing cycles, plan limits, add-ons, usage rates, taxes, and currency are displayed at checkout or in an Order Form. Self-serve plans support monthly, quarterly, and yearly billing where offered; enterprise services may use custom terms. Fees are payable in the displayed currency and in advance unless an Order Form says otherwise.

For India billing, the platform currently calculates applicable GST at 18% on plan and wallet checkout amounts. International checkout currently displays USD pricing and any tax treatment shown at purchase. Tax rates, exemptions, reverse-charge treatment, and invoice requirements may change with law and supplied billing information.

Payments are processed and server-verified through Razorpay or another provider identified at checkout. By authorising a recurring payment method or mandate, you authorise the provider and WayConnect to collect the displayed amount for the Subscription Term and renewals until cancellation becomes effective.

  • Provide accurate legal name, billing address, country, email, and tax identification details before payment.
  • You are responsible for provider, bank, currency-conversion, withholding, and other third-party charges unless the checkout expressly includes them.
  • If an undisputed amount is overdue or a recurring payment fails, WayConnect may retry through the provider, restrict paid features, place the subscription in past-due or paused status, or suspend access after appropriate notice.

13. Messaging wallet and usage charges

Subscription fees do not include WhatsApp message credits. Chargeable messaging and supported AI usage are deducted from a separate prepaid wallet at the rate shown in the billing interface. Message categories may include marketing, utility, authentication, and service, and rates may reflect third-party provider charges plus WayConnect's platform rate.

Wallet top-ups are credited only after payment verification. For INR top-ups, GST is charged separately and is not added to wallet balance. The platform may grant promotional welcome credit; promotional credit has no cash value and is not withdrawable or transferable.

A delivery failure may result in an idempotent wallet reversal when the platform confirms that the corresponding charge should be refunded. A reversal returns value to the wallet and is not a cash refund. Customer must maintain sufficient available balance for chargeable operations.

14. Renewals, plan changes, trials, and promotions

A recurring subscription renews for the selected billing cycle until its renewal is cancelled. The next charge and current period end shown in billing are based on provider and subscription records. Customer should review these dates and cancel before the provider begins processing the next renewal.

Where a current Razorpay Autopay subscription is active, a higher-tier upgrade requested through the in-product billing flow applies immediately after Razorpay successfully collects any prorated difference through the existing mandate. Lower-tier moves and same-plan billing-cycle changes are scheduled for the end of the current cycle unless an Order Form clearly states otherwise. New prices, limits, and entitlements apply only when the provider confirms that the change is effective.

A trial or promotional grant is limited to the period, features, and credit shown when offered. Unless checkout expressly says that a paid mandate will start automatically, a trial expires without charge. WayConnect may modify or withdraw a promotion prospectively and may prevent duplicate, abusive, or fraudulent use.

15. WayConnect intellectual property

WayConnect and its licensors own the Services, software, APIs, user interface, documentation, designs, trademarks, technology, and all improvements, excluding Customer Content. Subject to these Terms and payment of applicable fees, WayConnect grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the Subscription Term to allow Authorised Users to use the Services for Customer's internal business purposes and any expressly authorised reseller or white-label purpose.

If you provide feedback, suggestions, or ideas, you grant WayConnect a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or attribution, provided we do not publicly identify you as the source without permission.

16. Confidentiality

Each party may receive non-public information that is marked confidential or should reasonably be understood as confidential. The receiving party will use it only for the agreement, protect it with reasonable care, and disclose it only to personnel, providers, and advisers who need it and are bound by appropriate duties.

Confidential information does not include information lawfully known without restriction, independently developed, publicly available without breach, or rightfully received from another source. A party may disclose information when legally required if it gives notice where permitted and reasonably cooperates with protective measures.

17. Service operation, support, and changes

We work to operate and improve the Services but do not promise uninterrupted or error-free availability unless a signed service-level agreement says otherwise. Maintenance, security events, internet or provider failures, force majeure, and Connected Service changes may affect availability.

We may add, update, limit, or discontinue features. If a change materially reduces paid core functionality during a committed term, any remedy will be the remedy stated in the applicable Order Form or mandatory law. Support scope and response targets depend on the selected plan.

Beta, preview, roadmap, experimental, or “coming soon” functionality may be incomplete, change without notice, never become generally available, and is provided without a production service commitment. Public roadmap statements are not purchasing guarantees.

18. Suspension

WayConnect may limit or suspend some or all access where reasonably necessary to address a security incident, unlawful or abusive use, risk to another tenant or provider, material breach, unpaid undisputed fees, a Connected Service restriction, or a legal requirement. Where practicable, we will give notice and an opportunity to cure, but urgent action may occur without advance notice.

Customer remains responsible for charges incurred before suspension and for protecting exported or locally stored Customer Content. Suspension does not waive either party's termination rights.

19. Term, cancellation, and termination

These Terms begin when accepted and continue while you access the Services. A self-serve recurring subscription can be set not to renew from workspace billing where that control is available. Cancellation normally takes effect at the current cycle end, and paid access continues until then, subject to these Terms. Custom and enterprise commitments follow their Order Form.

Either party may terminate for an uncured material breach after reasonable written notice, or immediately where the breach cannot be cured, continued service would be unlawful, or the other party becomes subject to specified insolvency proceedings. WayConnect may terminate an inactive free account or trial after notice where practicable.

At the end of access, Customer should export required data before the displayed period end. Customer access and paid operational tools may stop when the plan expires. Customer Content is then retained or deleted under the Privacy Policy, product controls, the Data Processing Addendum, and applicable law. Billing, audit, security, and legal records may be retained.

20. Warranties and disclaimers

Each party represents that it has authority to enter the agreement. WayConnect warrants that it will provide paid Services with reasonable skill and care and substantially in accordance with applicable documentation. Customer's exclusive remedy for a verified breach of this warranty is re-performance or, if re-performance is not commercially reasonable, termination of the affected Service and any refund required by the applicable Order Form or law.

Except for express commitments in a signed agreement and to the maximum extent permitted by law, the Services, beta features, AI output, third-party connections, and documentation are provided “as is” and “as available”. We disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, and results. We do not guarantee message approval or delivery, recipient engagement, regulatory compliance, revenue, employment outcomes, or uninterrupted third-party availability.

21. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, business opportunity, or data, even if advised that the loss was possible. This exclusion does not apply where applicable law does not permit it.

Unless an Order Form states another cap, each party's total aggregate liability arising from the Services will not exceed the fees paid or payable by Customer for the affected Services during the twelve months immediately before the event giving rise to the claim. The cap does not limit payment obligations, misuse of the other party's intellectual property, fraud or wilful misconduct, breach of confidentiality, Customer's indemnity obligations, or liability that cannot legally be limited.

Free and trial Services are provided without charge; where law permits, WayConnect's aggregate liability for them will not exceed the greater of the amount paid for that Service or the minimum amount that cannot lawfully be excluded.

22. Customer indemnity

To the extent permitted by law, Customer will defend, indemnify, and hold harmless WayConnect and its personnel from third-party claims, damages, fines, costs, and reasonable legal fees arising from Customer Content, Customer's messages or employment practices, unlawful instructions, breach of Sections 6–9, or Customer's violation of a third party's rights or Connected Service terms.

WayConnect will promptly notify Customer of a covered claim, allow Customer to control the defence and settlement, and provide reasonable cooperation at Customer's expense. Customer may not settle a claim in a way that admits fault by or imposes non-monetary obligations on WayConnect without consent.

23. Compliance, sanctions, and export controls

Each party will comply with laws applicable to its own performance. Customer will not use or export the Services in violation of sanctions, trade restrictions, or export-control laws, or for prohibited end users, countries, or purposes. Customer is responsible for industry-specific obligations and for obtaining licences or approvals required for its business and content.

24. Governing terms and general provisions

The governing law, courts, and any agreed dispute procedure are those identified in the applicable Order Form or contracting supplier's invoice, subject to mandatory rights that cannot be waived. Before filing a formal claim, each party will make a good-faith effort to resolve the issue through authorised business contacts unless urgent relief is required.

Neither party is liable for delay caused by events beyond reasonable control, excluding Customer's obligation to pay amounts already due. Neither party may assign the agreement without consent, except to an affiliate or in connection with a merger, reorganisation, or sale of substantially all relevant assets, provided the assignee assumes the obligations. Customer may not assign to a direct competitor of WayConnect without consent.

Notices may be delivered through the account, website, email, invoice, or Order Form contact. Failure to enforce a term is not a waiver. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder stays effective. The agreement is the entire agreement on its subject and does not create a partnership, agency, employment, or third-party-beneficiary relationship.

25. Changes and contact

We may revise these Terms for legal, security, operational, or product reasons. The current version and effective date will be posted here. For a material change affecting an active paid subscription, we will provide reasonable advance notice through the website, workspace, or account email when required. Changes do not retroactively alter a signed committed term unless agreed or legally required.

Include the Customer and workspace name, the relevant Order Form or invoice where applicable, and enough detail to route the notice. Do not send passwords, one-time passcodes, complete payment details, or API secrets.
